White Pearl Technology Group AB controls 87,48 percent of the shares in Ayima Group AB (publ) after the completion of the public offer
White Pearl Technology Group AB (”White Pearl”) announced on 20[th] February 2024 a public offer to the shareholders of Ayima Group AB (publ) (”Ayima Group”) to acquire all shares in Ayima Group (the “Offer”). On 27[th] March 2024, White Pearl announced the decision to extend the acceptance period in the Offer to 10[th] April 2024, in order to give the remaining shareholders of Ayima group the opportunity to accept the Offer. White Pearl has today decided not to extend the acceptance period in the Offer further. The Offer has been accepted to such an extent that after completion, White Pearl holds approximately 87,48 percent of the shares, and 87,63 percent of the votes in Ayima Group.

During the extended acceptance period, which ended on 10th April 2024 at 15:00, addition acceptances has been received regarding 134 999 class B shares, corresponding to approximately 1,83 percent of the outstanding share capital and 1,43 percent of the votes in Ayima Group. Payment of consideration for shares submitted in the Offer no later than April 10th 2024 at 15:00, is estimated to be able to begin around 15th April 2024. White Pearl declared the Offer unconditional on 27th March 2024, and has decided not to extend the acceptance period in the Offer further. The Offer has thus ended.
At the end of the extended acceptance period, on 10th April 2024, the Offer had been accepted in total by shareholders represented by a total of 200 000 class A shares and 6 268 006 class B shares in Ayima Group, corresponding to approximately 87,48 percent of the total number of outstanding shares and approximately 87,63 percent of the total number of outstanding votes in Ayima Group.
White Pearl does not hold any other financial instruments that provide financial exposure to Ayima Group’s share and has not acquired any other such shares or financial instruments outside the Offer.
In accordance with what has previously been communicated, White Pearl has ensured that holders of share-related rights in Ayima Groups incentive programs, which were not included in the Offer, have been given fair treatment. White Pearl therefore offered to acquire the rights in Ayima Group at the same price as the Offer, 0,6 class B shares in White Pearl per right. All holders of such rights in Ayima Group accepted White Pearl’s offer to acquire the rights and payment of consideration for the rights has taken place.

The acceptance period for the Offer began on 26th February 2024, and would, subject to White Pearl’s right to extend the acceptance period, end on March 26th 2024. White Pearl announces that:
- White Pearl declares the Offer unconditional. All conditions for the Offer are met or have been waived.
- The Offer has been accepted, to such an extent that after settlement, White Pearl holds approximately 85,65 percent of the shares in Ayima Group.
- White Pearl extends the acceptance period for the Offer until and including 10th April 2024 to enable a higher level of acceptance in the Offer.
- White Pearl decides on a new issue of no more than 4 436 203 class B shares as consideration for the Offer.

The Offer has, as of today, been accepted by shareholders representing a total of 200 000 class A shares, and 6 133 007 class B shares, corresponding to approximately 85,65 percent of the total number of outstanding shares and approximately 86,20 percent of the total number of outstanding votes in Ayima Group.
In order to enable a higher level of acceptance in the Offer, White Pearl has decided to extend the acceptance deadline until 10th April 2024 15:00. Payment of consideration to the shareholders who have already accepted the Offer is estimated to begin around on 5th April 2024. Payment of consideration to the shareholders who accept the Offer during the extended acceptance period is estimated to be able to begin around 15th April 2024.
White Pearl reserves the right to further extend the acceptance deadline for the Offer and to postpone the time for payment of consideration. In the event that White Pearl becomes the owner of shares corresponding to more than 90 percent of the shares in Ayima Group, White Pearl intends to call for redemption in accordance with the Companies Act in order to acquire the shares that were not submitted in the Offer. In connection thereto, White Pearl intends to promote a delisting of the shares in Ayima Group from Nasdaq First North.
White Pearl does not hold any other financial instruments that provide financial exposure to Ayima Group’s share and has not acquired any other such shares or financial instruments outside the Offer.
White Pearl also declares the Offer unconditional. As the Offer is now unconditional, the shareholders who have accepted the Offer, or will accept the Offer, will not have the right to withdraw their acceptances.
As part of the Offer, the board of White Pearl, with the authorization from the annual general meeting on April 11th, 2023, resolve on a new issue of no more than 4 436 203 B shares as consideration to shareholders in Ayima Group. The directed share issue involves an increase in the number of shares in White Pearl by no more than 4 436 203 and an increase in the share capital by no more than SEK 97 596,397. This means an increase in the number of shares from 23 124 038 to 27 560 241 and an increase in the share capital from SEK 508 728,476 to SEK 606 324,873, which corresponds to a dilution of about 16,10 percent of the number of shares and about 15,97 percent of the number of votes in White Pearl.

White Pearl Technology Group – growth scenario with the addition of Ayima in the company group
On 20 February 2024, White Pearl Technology Group (WPTG) announced a takeover offer for Ayima Group, which was accepted by the founders and a majority of shareholders. The acquisition is due to be completed on 27 March at the conclusion of the acceptance period, as per the offer documents published previously and are available at www.whitepearltech.com.
In 2023, Ayima reported revenue of approximately 130 MSEK, and while it also reported a loss for the full year, it is clear from the positive Q4 EBITDA result (0.3 MSEK) that the company has gone a long way to reversing that situation and 2024 is expected to be profitable. Further, with its planned acquisition of Linkology, the combined Ayima Group presents pro forma revenue of approximately 190 MSEK while Linkology alone reported EBITDA of approximately 18 MSEK in 2023. With the addition of the two companies, WPTG combined pro forma revenue for 2023 would have been approximately 430 MSEK, representing an 80% increase. Further to the expected financial gain, WPTG would like to explain the rationale and the process behind the investment.
Ayima is a leader in the Digital Marketing field and has an unparalleled reputation in the SEO/SEM sector. Ayima boasts an enviable client list, composed largely of household name brands, FTSE100 and NYSE Fortune 500 companies. Following a careful analysis of the company and its operations, and a lengthy round of discussions with Ayima’s management, it became clear to WPTG that Ayima was a significantly undervalued entity with massive growth potential that had become hamstrung by the impact of macro-events such as the covid19-pandemic, the inflation-related downturn and the resulting lack of investment capital.
WPTG recognised many synergies in terms of product offering, geographic location and diversification that fit neatly into WPTG’s existing strategy, combined with a Swedish presence and a seasoned professional management team. It is envisaged that Ayima will form an entirely new business division within WPTG – Digital Innovation. Existing WPTG assets will be added to this unit to form a line of business that is expected to significantly grow over the coming years.
WPTG and Ayima have discussed an aggressive growth strategy, centred around acquisitions, cross-selling and geographic expansion. Ayima has previously announced the signing of an LOI regarding the acquisition of Linkology, a successful UK-based content-marketing company. This acquisition represents a strategic shift for Ayima to diversify its customer base from primarily large multinationals to more dynamic smaller companies as well.
Combined, Ayima and Linkology will present annual revenue in excess of 190 MSEK, (based on pro forma 2023 results) . The group also expects that cross-selling opportunities and other efficiencies resulting from the acquisition will increase those numbers significantly in the coming two years. While the Ayima acquisition is all-shares, WPTG expects that the Linkology acquisition will be largely funded through cash reserves, combined with bank borrowings. The Linkology acquisition is not expected to result in a significant equity dilution to WPTG’s current shareholders.
Additionally, Ayima will expand its service offerings outside of the core US/UK markets in which it currently operates. The UK and US are seen as mature and extremely competitive markets and this has resulted in a severe slowdown in the new business acquisition process. Meanwhile, WPTG’s core markets in the Middle East, Asia and Latin America are far less mature, far more fragmented and possess far more growth potential.
This combined with further organic growth initiatives already underway across the group, including a “bulking up” of IT assets, continued expansion into certain key geographies like Latin America and a planned service diversification into Business Process Outsourcing (BPO) will ensure WPTG is properly focussed on continuing the growth trajectory that has been established in the group over recent years.
