The initial ZAR 8 million award now opens a corridor with tens of millions of rands in potential as the N3 programme scales between Pietermaritzburg and Durban.

Premier Brands tells a parallel story in energy infrastructure. Competing for Eskom’s PV and Battery Energy Storage rollout — and securing the largest allocation among all awarded bidders — reflects the commercial confidence and technical depth that Group membership enables. The ZAR 35 million pilot contract, to be delivered within six months, is the entry point to a programme with approximately 300 additional Eskom sites identified for rollout over the next two to three years. That pipeline would not be visible, much less accessible, without the platform White Pearl has built.

WPTG issue shares to offset debt

Stockholm, Sweden, 2026-02-25 – The board of directors in White Pearl Technology Group AB (WPTG), a Swedish Global Tech Company has, pursuant to the authorization granted by the Annual General Meeting held on 20 May 2025, today resolved share issues of 28,500 shares granted to Acuma Invest AB.

The issue is being carried out to offset an outstanding debt of SEK 456,000 relating to advisory services provided in connection with WPTG’s acquisition of Spotr Group AB’s subsidiaries Adligo AB, APTR SL AB, Appspotr South Asia (Pvt) Ltd, and Spotr’s 51 percent holding in Krobier AB.

In accordance with the parties’ agreement, the share subscription price shall be SEK 16 per share. Of the subscription price, SEK 0.022 per share shall be allocated to the share capital and the amount exceeding the quota value shall be allocated to the unrestricted share premium reserve.

Deviation from the shareholders’ preferential rights

The purpose of the share issue is to settle the Company’s debt to the subscriber through set-off. The Board of Directors has assessed that the share issue is beneficial to the Company and to all shareholders as it reduces the Company’s indebtedness and improves the capital structure. The Board therefore considers that the reasons for deviating from the shareholders’ pre-emption rights outweigh the reasons supporting the main rule.

Number of shares and share capital

The Company’s share capital shall increase by not more than SEK 626.97, from SEK 661,074.07 to not more than SEK 661,701.04.

The number of shares in the Company shall increase by not more than 28,500 shares, from 30,048,873 shares to not more than 30,077,373 shares, entailing a dilution of approximately 0.09 percent of the total number of shares and votes in the Company.

WPTG announces leadership changes to support growth, shared services expansion, and strengthened governance

Vikas has deep knowledge of the Group’s subsidiaries, integration processes, and operational cost structures. His appointment will provide a more hands-on, execution-oriented CFO function across the Group and support the scaling of centralized finance and shared services functions.

Chettan Ottam will transition to Financial Director, supporting the Group CFO on financial management and reporting, overseeing specific subsidiaries, and assisting with integration and financial governance initiatives. This is an expanded operational role within the Group and the subsidiaries outside Europe, with Chettan remaining a key part of WPTG’s finance leadership team.

Hans Hägg will continue as CFO of WPTG AB, supporting the company’s financial reporting and compliance and coordinating with auditors and regulatory bodies, ensuring consistency in reporting, governance, and investor communication. Hans will be a vital part of the Group’s continued growth and increasing scale.

Ashley de Klerk has been appointed as Group COO, taking over the operational responsibilities currently held by Vikas Gupta. This appointment creates a clear separation between the Group’s financial leadership and day-to-day operations and strengthens the management structure as the Group continues to scale across multiple markets. Ashley will be responsible for operational performance across all subsidiaries, integration and execution of acquisition strategies, delivery quality, efficiency, cross-company collaboration, and the implementation of group-wide operational processes and standards.

WPTG, through its subsidiary Adligo AB, has entered into an LOI to acquire the Swedish comapny ServIT AB

Stockholm, Sweden, 2026-02-17 – White Pearl Technology Group AB (WPTG), a Swedish global digital transformation and IT services company, today announces that it has signed a Letter of Intent (LOI) to acquire ServIT AB, through its Swedish subsidiary Adligo AB. ServIT AB is a supplier of proven, modern, and easy-to-use cloud-based contact center services. The total purchase consideration for the proposed transaction amounts to SEK 6 million, consisting of SEK 2 million in cash and SEK 2.5 million in WPTG shares (subject to a 9-month lock-up) at closing. The remaining consideration will be paid through an earn-out over 24 months, up to SEK 1.5 million, payable in equal parts cash and WPTG shares.

This acquisition provides WPTG with entry into the global contact center and customer experience (CX) market, which is large and rapidly growing, driven by digital customer engagement, AI-driven automation, and omnichannel communication platforms.

ServIT is expected to contribute a revenue of SEK 3.5 million and an estimated EBITDA of over SEK 1.5 million to the White Pearl Technology Group.

Furthermore, the acquisition of ServIT represents a targeted, cash-generative software opportunity within WPTG’s core European market. The company brings proprietary technology, recurring revenue potential, and an established Swedish customer base, with opportunities to scale globally through WPTG’s platform.

Adding ServIT to the WPTG group will create several synergy opportunities.
